A real estate closing involves much more than watching buyers and sellers sign documents. Depending on the transaction and the attorney's role, a closing attorney may review title, address legal title problems, prepare or supervise the preparation of legal documents, review lender requirements, and help ensure that the documents necessary to complete the transaction are properly executed and recorded. Alabama State Bar guidance recognizes the legal functions involved in preparing deeds, conveyances, mortgages, and answering questions concerning their legal effect.
One particularly important part of the attorney's job is identifying problems before money and property change hands. An old mortgage, deceased owner, divorce, judgment, incorrect deed, probate proceeding, or unusual ownership structure can require legal analysis that goes beyond simply processing paperwork.
It is also important to understand whom the attorney represents. The attorney handling a closing does not automatically become the personal lawyer for every buyer, seller, Realtor, and lender involved. Alabama State Bar ethics guidance recognizes that real estate transactions can create potential conflicts and circumstances in which a party may need independent legal counsel. A good closing process makes those roles clear while keeping everyone focused on reaching a legally sound closing.
